Cylinder Terms

Global Calibration Gases' specialty gases and mixtures are available in various size cylinders in accordance with the table on cylinder sizes. The cylinders are the property of Global Calibration Gases. Global Calibration Gases may offer cylinders for sale if desired and prior approval is required. Disposable cylinders, lecture bottles, and other similarly small cylinders are sold outright and are included in the selling price. The use of Global Calibration Gases cylinders shall be subject to the following terms and conditions.

1. Specialty gas cylinders are provided to customers on a rental basis only unless previously approved purchase of the cylinder is indicated. Daily rate is established at time of quotation and is charged beginning the day shipment is made and continues until the cylinder is confirmed returned.
2. The customer waives any claim on defective valves or other imperfections of the cylinders unless claim is made within ten (10) days after receipt of the cylinders, and the cylinders are returned to Global Calibration Gases plant, subject to inspection by our personnel.
3. All empty cylinders shall be returned to Global Calibration Gases, at customer's expense, to the designated shipping location.
4. The valves on all empty cylinders shall be tightly closed and the cylinder will be returned with cap or other appropriate valve protection device intact.
5. The customer will not permit the use of oil, grease, or other lubricants on cylinders, valves or fittings.
6. Customer is responsible for all loss or damage sustained by the cylinders, valves, fittings and caps while in their possession and agrees to pay Global Calibration Gases the monetary amount of all such losses or damages as set forth in Global Calibration Gases' schedule for purchase or loss of use.
7. All rental cylinders remain the sole property of Global Calibration Gases. Customers shall not permit rental cylinders to be sold, loaned, leased, or given to other individuals or companies. Federal law (under DOT regulations) prohibits the shipment of a container filled with compressed gases, unless filled with the consent of the owner.

Global Calibration Gases is an authorized producer of Purity Plus® Specialty Gases and have adopted the standard cylinder sizes and specifications as appears in their catalog. Purity Plus® is a registered trademark of IWDC (Independent Welding Distributors Cooperative). The Purity Plus® catalog can be viewed at www.purityplusgases.com.

Customer Owned Cylinders: Global Calibration Gases will fill customer owned cylinders under the following conditions:

  1. Cylinders must be identified by serial number and accompanied by a written statement listing the serial numbers and attesting to the customer’s ownership.

  2. Cylinders must be manufactured in accordance with and approved by the Department of Transportation (DOT).

  3. Customer owned cylinders and their valves must pass Global Calibration Gases’ inspection and meet current DOT regulations. If such cylinders require requalification, valve repair or replacement, steam cleaning, exterior shot blasting and painting, these services will be performed upon request at the customer’s expense. Such arrangements for services shall be arranged through customer service.

 

 

General Terms and Conditions

Orders: All orders must be accompanied by a written purchase order. This may be mailed, faxed, or sent by e-mail. Complete information is necessary on the purchase order including an accurate description of the gas contents, mixture composition, mixture grade, analytical requirements, certification requirements, cylinder size, and quantity ordered. Once received, the order will be confirmed by customer service which verifies that all information, including the price is correct. The estimated lead time for delivery will also be confirmed at this time.

Cancellations: Orders cannot be cancelled without the consent of Global Calibration Gases. Orders that are custom in nature must be discussed with customer service before cancellation will be considered. Cancellations may be subject to a cancellation charge.

Returns: Credit will not be issued without prior approval by customer service. Returned goods are subject to a reasonable restocking charge. Customer service must supply a return authorization number (RAN) prior to return of any goods.

Freight Policy: Unless otherwise specified, all shipments shall be F.O.B. Global Calibration Gases manufacturing facility at which time title and risk of loss shall pass to the customer. Claims for shortages must be filed with us within 10 days of receipt of merchandise. We typically ship via common carrier. Claims for loss or damage will be handled by the customer with the carrier. Global Calibration Gases’ responsibility ceases when the shipment is received by the carrier at our dock.

 Claims for Damage or Shortages: Before signing for any shipment, please check for damage or shortage. If damage or shortage exists, be sure notation is made on the bill of lading or delivery ticket and consignee copies and the transportation company is notified. All goods are shipped at customer’s risk, and claims for goods damaged or lost in transit should be filed by the consignee direct with the transportation company. Upon receipt of such a notice from the transit company or customer, Global Calibration Gases will gladly help trace or remedy such shipments.

 Pricing: Pricing is established by our customer service department. Additional discounts for any reason may not be applied without written consent of customer service. Firm quotations will be supplied upon request and, unless otherwise stated, are subject to withdrawal without notice.

 Credit Terms: Terms are net 10 days after date of invoice. Extended terms are available by approval of customer service and prior credit approval. Past due balances are subject to 1.5% per month finance charge (annual percentage rate of 18%).

 Charge Cards: Visa and Master Charge cards are accepted for purchases. These cards may be presented for any purchases but may not be used for payment of an amount already owed to Global Calibration Gases.

Sales and Use Tax: All sales are subject to any manufacturer’s tax, use tax, sales tax, excise tax, or others imposed by any Government authority except where Global Calibration Gases is in receipt of a certificate of exemption.

 Warranty: Global Calibration Gases warrants that the product delivered to the customer shall conform to the company’s applicable specification and that, at time of delivery, shall be free of encumbrances. THE FOREGOING WARRANTEE IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR BY LAW, INCLUDING, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

 LIMITATION OF LIABILITY: Global Calibration Gases’ sole liability for any specialty gas product, not conforming to the standards warranted, shall be limited to the purchase price of the quantity of products delivered. Global Calibration Gases shall not be liable for any special, incidental or consequential damages, including loss of use, loss of work in process, downtime or loss of profits. Nor shall Global Calibration Gases be liable for damages of any kind arising from the presence or use of any customers’ products, whether used singly or in combination with any other substances. Determination of the suitability of any of Global Calibration Gases’ furnished hereunder for the use contemplated by the customer is the sole responsibility of the customer, and Global Calibration Gases shall have no liability to the customer to make this determination. The customer assumes all risk and liability for loss, damage or injury to persons or property of customer or others arising out of the use and possession of any of Global Calibration Gases’ products.

 No goods shall be returned without Global Calibration Gases’ permission. No claims for damages, errors, shortages, adjustments, or rejections because of defective parts, construction or materials will be allowed unless made within fourteen (14) days from the receipt of the goods. Failure to make such claims within this period shall be conclusive evidence that the merchandize delivered and billed to customer is satisfactory in all respects and manufactured in accordance with order specifications.

 Global Calibration Gases shall not be responsible for damages or otherwise for any failure or delay in the performance of any of its obligations caused by strike, lockout or other industrial disturbance, fire, earthquake, explosion, flood, storm, act of God, accident, governmental action and regulation, curtailment, and other failure to obtain sufficient raw materials, labor or utilities, machinery or equipment breakdown, lack of transportation or distribution facility, any other cause whatsoever, whether or not of the same class or kind as set forth above, beyond its reasonable control and which by the exercise of due diligence, it is unable to overcome.

Conflict of Terms: Notwithstanding any provisions therein to the contrary, no terms and conditions in customers’ purchase order, acknowledgement form or other document issued by the customer which conflict with the conditions hereunder, shall be binding on Global Calibration Gases unless specifically identified and accepted in writing by an executive officer of Global Calibration Gases. Global Calibration Gases shall object to all such terms and conditions until accepted in the foregoing manner.

 Fair Labor Standards Act: Global Calibration Gases acknowledges that all goods or services have been produced or supplied in compliance with the provisions of the Fair Labor Standards Act of 1938, as amended.

 Equal Employment: Global Calibration Gases maintains an Affirmative Action Plan and practices Equal Employment in accordance with Title VII of the Civil Rights Act of 1964 and Executive Order 11246.
